This role is located in Jupiter Florida. Relocation is required and covered.
This role primarily provides legal services to the Company to ensure maximum protection of its legal rights and to maintain its operations within the limits prescribed by law. Provides strategic guidance, consultation,
and support to senior attorneys.
This role has a strong emphasis on corporate transactions, securities, SEC reporting, and regulatory
requirements.
ESSENTIAL DUTIES & RESPONSIBILITIES
- Provides legal services on all legal matters relevant to a publicly traded company, including employment law, policies, procedures, rules, and regulations, and laws pertaining to consumers, real estate transactions, contracts, tax matters, board management, worker’s compensation, liability, and insurance matters, funding raises the implication to existing equity, and other laws and regulations.
- Prepare SEC filings including 10-K annual reports, 10-Q quarterly reports, 8-K current reports, and annual proxy statements
- Advise and provide support to the General Counsel on a wide variety of corporate matters including, the annual meeting of stockholders, corporate policies, and investor outreach
- Oversee and advise on Section 16 filings, administration of 10b5-1 plans, and insider trading
- Provide support for capital markets and financing transactions, including securities offerings, credit agreements, and related activities
- Oversee company equity incentive plan, including compliance, reporting, and administration
- Anticipates and identifies legal issues and counsels officers of the Company and other upper management in a fast-paced environment with multiple stakeholders.
- Reviews, researches, interprets, and prepares both written and oral opinions on a wide variety of legal issues.
- Drafts, reviews, and approves policies and procedures, regulations, bylaws, and other legal documents.
- Reviews contracts, leases, and other legal documents; research legal issues and recommends revisions as necessary.
- Provide support on M&A transactions, including diligence, execution, and integration
- Assists in-house litigation team as needed on in-house litigation matters, including preparing pleadings, and briefs and coordinating electronic document collection and other discovery procedures.
- May act as a board member of subsidiary organizations.
- Monitors outside counsel, as required, to obtain legal opinions or to handle claims and litigation.
- May supervise legal work of other Company attorneys, paralegals, and outside counsel; consults on difficult or sensitive issues.
- Maintains professional growth and development through seminars, workshops, and professional
affiliations to keep abreast of the latest developments in relevant law and in other related areas. - Performs miscellaneous job-related duties as assigned.
ESSENTIAL EDUCATION, EXPERIENCES & ATTRIBUTES
- J.D. from an American Bar Association accredited law school; 4 to 5 years’ experience in the corporate department of a law firm or in-house legal department
- Member of FL State Bar, or member in good standing of the State Bar of another state or District of Columbia.
- Securities experience with publicly traded companies
- Experience with Regulated Products/Industries
- FDA experience
- Transactional and M&A Exposure
- Ability to provide competent legal advice and counsel to senior management on a wide range of legal and policy issues.
- Knowledge of the range of applicable laws and regulations which impact all facets of the Company policy and operations.
- Ability to analyze and interpret issues and prepare legal opinions.
- Ability to communicate and interact with officials at all levels of government.
- Ability to supervise and coordinate the work of legal professionals, paraprofessionals, and consultants.
- Knowledge of the principles and procedures of legal research.
